Accept these Terms & Conditions as legally binding.
Every quotation, proposal, or estimate provided by Nexify Dot is based upon the information supplied by the Client at the time of enquiry.
Unless otherwise stated:
Quotations remain valid for 30 days.
Pricing may change after this period.
Additional functionality or services requested after approval may require a revised quotation.
Work will only commence once the agreed initial payment has been received.
GrowthOS™ Complete is Nexify Dot’s one-time implementation package designed for businesses that wish to own their completed digital solution.

Upon successful completion of the project and receipt of full payment, ownership of the agreed website and approved custom deliverables transfers to the Client.
Ownership applies only to the deliverables specifically included within the approved quotation or proposal.
Third-party licences, premium plugins, subscription software, hosting services, APIs, proprietary frameworks, and external platforms remain subject to their respective licensing agreements unless expressly included in writing.
GrowthOS™ Care is Nexify Dot’s fully managed monthly digital growth service.
Rather than purchasing the website outright, clients receive a professionally managed digital ecosystem that includes continuous maintenance, optimisation, support, and strategic improvements for a recurring monthly investment.

GrowthOS™ Care is designed as an ongoing service partnership rather than a one-time project.
Clients subscribed to GrowthOS™ Care receive access to a fully managed digital solution while maintaining an active subscription.
During the subscription period:
Nexify Dot retains ownership of the website infrastructure provided through the Care service.
Proprietary GrowthOS™ frameworks, automation systems, templates, workflows, premium licences, hosting environments, and supporting infrastructure remain the property of Nexify Dot.
Clients receive full operational use of the website and services throughout their active subscription.
This ownership structure enables Nexify Dot to continuously maintain, improve, secure, and optimise the platform as part of the managed service.
Clients may choose to transition from GrowthOS™ Care to GrowthOS™ Complete at any stage of their subscription.
To initiate this transition, the Client must provide Nexify Dot with a minimum of one (1) month’s written notice before the intended transfer date.
As GrowthOS™ Care is a subscription-based managed service and does not include ownership of the website or associated infrastructure, the Client must pay the applicable GrowthOS™ Complete implementation fee in effect at the time of the transition request.
Upon receipt of full payment, Nexify Dot will transfer ownership of the agreed website and custom deliverables included within the GrowthOS™ Complete package.
The following are not automatically transferred unless expressly agreed in writing:
Premium plugin licences
Subscription software
Third-party APIs
Proprietary GrowthOS™ frameworks
Internal automation methodologies
Hosting accounts provided by Nexify Dot
Third-party service subscriptions
Nexify Dot reserves the right to replace subscription-based software with suitable alternatives where licensing restrictions prevent ownership transfer.
Projects commence only after the agreed initial payment has been received.
Invoices must be paid on or before the stated due date.
Late or overdue payments may result in:
Suspension of ongoing work
Delayed project delivery
Temporary suspension of hosting or maintenance services
Restricted access to project deliverables
Suspension of GrowthOS™ Care services
Additional recovery costs where legally applicable
Any services requested outside the agreed scope will be quoted separately before work begins.
All payments made to Nexify Dot are processed in accordance with the agreed quotation, proposal, or invoice.
Due to the bespoke nature of digital services, payments made for completed work, consultation, strategy, design, development, and implementation are generally non-refundable.
If a project is cancelled after work has commenced:
Nexify Dot reserves the right to invoice for work completed up to the cancellation date.
Any completed milestones remain payable.
Ownership of partially completed work remains with Nexify Dot unless otherwise agreed in writing.
Monthly GrowthOS™ Care subscriptions remain payable until the agreed cancellation period has been completed.
Refunds for third-party software, hosting services, domains, licences, or external subscriptions are subject to the refund policies of the respective providers and cannot be guaranteed by Nexify Dot.
Estimated delivery dates provided by Nexify Dot are based on the information available at the time of project commencement and should be considered estimates rather than guaranteed completion dates.
Project timelines depend upon:
Timely communication
Prompt approvals
Delivery of required content and assets
Third-party platform availability
Client responsiveness
Delays caused by the Client or external service providers may result in revised delivery schedules without constituting a breach of this agreement.
Nexify Dot will make reasonable efforts to keep Clients informed of any significant changes to project timelines.
To ensure efficient project delivery, Clients agree to:
Provide accurate business information.
Supply all requested content, branding assets, images, and documentation.
Maintain timely communication throughout the project.
Review submitted work and provide approvals within a reasonable timeframe.
Ensure that any content supplied to Nexify Dot does not infringe upon third-party intellectual property rights.
Failure to meet these responsibilities may affect project delivery dates and ongoing services.
Reasonable revisions are included only within the agreed project scope.
Revision requests involving:
New pages
Additional functionality
Structural redesigns
New integrations
Feature enhancements
Additional automation
Expanded SEO campaigns
may require revised quotations, additional fees, and updated delivery schedules.
Repeated revision requests beyond the agreed scope may also be treated as additional work.
Unless expressly stated within an approved proposal, quotation, or invoice, the following costs are not included:
Domain registrations or renewals
Premium plugins
Software subscriptions
AI platform subscriptions
CRM subscriptions
Third-party APIs
Advertising spend
Email platform subscriptions
External hosting services
Payment gateway fees
Nexify Dot is not responsible for service interruptions, pricing changes, licensing changes, policy updates, security incidents, or operational failures caused by third-party providers.
Where third-party services are required, the Client agrees to comply with the terms and conditions of those providers.
Where Nexify Dot provides hosting or website maintenance, we will take reasonable measures to maintain website availability, security, and performance.
However, uninterrupted service cannot be guaranteed due to factors outside our reasonable control, including:
Internet outages
Data centre maintenance
Server failures
Software conflicts
Cyber attacks
Third-party provider issues
Scheduled maintenance may occasionally require temporary downtime.
Nexify Dot follows recognised industry best practices to improve website quality, search visibility, local presence, technical optimisation, and user experience.

Clients may not copy, reproduce, redistribute, reverse engineer, modify, or commercially exploit these proprietary assets without prior written permission.
The Client confirms that all content supplied to Nexify Dot, including text, images, logos, videos, trademarks, and other materials, either belongs to the Client or has been lawfully licensed for use.
The Client agrees to indemnify Nexify Dot against any claims arising from copyright infringement or unlawful use of supplied materials.
Both parties agree to keep confidential all non-public information exchanged throughout the course of the project.

Neither party shall disclose confidential information to third parties without prior written consent unless required by law.

This may include screenshots, branding elements, website previews, and publicly accessible project outcomes.

Nexify Dot reserves the right to suspend or terminate services immediately where:
Payments remain outstanding.
The Client engages in abusive or threatening behaviour.
Fraudulent activity is suspected.
The Client repeatedly breaches these Terms.
Illegal activity is identified.
Continued service becomes commercially or technically impractical.
Termination does not remove the Client’s responsibility to settle outstanding invoices or contractual obligations.
GrowthOS™ Care services may also be suspended where subscription payments are not maintained.
To the fullest extent permitted by applicable law, Nexify Dot shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of our website, products, or services.
This includes, but is not limited to:

Loss of revenue
